These Terms of Service (“Terms”) are a binding agreement between you and Plys (“Plys”, “we”, “us”) governing your use of the websites at plys.ai and related domains, our applications, and our video production services (together, the “Service”). By creating an account, joining the waitlist, or using the Service, you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of a company, you represent that you have authority to bind that company, and “you” refers to it.
1. The Service
Plys is an AI video studio: from a brief you provide, it writes scripts, generates visual scenes anchored to your chosen character, produces voiceover, edits episodes, creates packaging (thumbnails, titles, shorts, and related text), and — when you connect a channel — schedules and publishes the results. The Service is currently a closed beta offered on an invitation basis: features may change, be interrupted, or be discontinued at any time, and access may be granted, limited, or revoked at our discretion.
2. Eligibility and accounts
- You must be at least 18 years old to use the Service.
- Accounts are created via Google Sign-In and are limited to invited users. You are responsible for activity under your account and for keeping your Google account secure.
- Information you provide must be accurate. We may suspend accounts that provide false information or breach these Terms.
3. Early access and fees
During early access, the Service is provided free of charge unless otherwise agreed in a separate written engagement (for example, a managed-service agreement). We may introduce or change fees in the future; we will give account holders reasonable advance notice, and continued use after a fee takes effect constitutes acceptance. Any separate written agreement between you and Plys governs over these Terms to the extent of a conflict.
4. Your content and your channels
- You own your channels. YouTube and other platform channels you connect remain yours, and content we publish there is published on your instruction and under your platform account.
- Inputs.You retain all rights in the briefs, scripts, reference images, and other material you provide (“Inputs”). You grant us a license to host, process, reproduce, and modify Inputs solely to operate and provide the Service.
- Outputs.Subject to these Terms and to the extent of our rights in them, we assign to you all right, title, and interest we may hold in the finished videos, thumbnails, and packaging delivered to you (“Outputs”). You are responsible for how you use and publish Outputs.
- Our operational license.You grant us a license to host, store, and process Outputs to deliver the Service, including publishing them to your connected channels on your instruction and analyzing their performance to improve your channel’s future episodes.
- Showcase. We may identify publicly published Outputs and the channels they appear on in our own marketing (for example, linking to a public video); we will not disclose non-public client information without consent.
- Representations.You represent that you have all rights necessary in your Inputs and connected channels, and that our processing of them as described will not infringe any third party’s rights.
5. AI-generated content
- Outputs are generated by artificial intelligence. Despite automated review passes, they may contain inaccuracies, artifacts, or statements that require your review. You are responsible for reviewing Outputs before relying on them and for their accuracy and legality where you publish them.
- Similar or identical outputs may be independently generated for other users; we do not guarantee uniqueness of any generated element.
- You are responsible for complying with disclosure obligations that apply to AI-generated or synthetic media on the platforms where you publish (including YouTube’s altered-content disclosure rules) and in the jurisdictions where you operate.
6. YouTube and other third-party services
- The Service uses YouTube API Services. By connecting a YouTube channel, you also agree to be bound by the YouTube Terms of Service and acknowledge the Google Privacy Policy. You can revoke our access at any time in your channel Settings or via your Google security settings.
- Actions we take on your channel (uploads, scheduling, metadata) are taken as your authorized agent, on your instruction and configuration.
- You are responsible for your channels’ compliance with the policies of the platforms you publish to. We are not responsible for platform decisions such as demonetization, restriction, or removal of content or channels.
7. Acceptable use
You agree not to use the Service to create, publish, or promote:
- content that is unlawful, defamatory, or infringes others’ rights;
- content that impersonates a real person or organization without consent, or that presents synthetic media as authentic in a deceptive way;
- content that exploits or endangers minors;
- hateful, harassing, or violence-inciting content;
- spam, scams, malware, or deceptive commercial practices;
and you agree not to:
- probe, disrupt, or circumvent the Service’s security or usage limits;
- reverse engineer the Service except where permitted by law, or use it to build a directly competing automated video service;
- resell or white-label the Service without our written agreement;
- connect channels or accounts you are not authorized to control.
We may remove content or suspend accounts that violate this section.
8. Plys intellectual property
The Service — including its software, models, pipelines, prompts, designs, and the Plys name and marks — is owned by Plys and its licensors and is protected by intellectual-property laws. Except for the rights expressly granted to you in these Terms, no rights in the Service are granted. If you send us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or obligation.
9. Termination
You may stop using the Service at any time and may request account deletion at hi@plys.ai. We may suspend or terminate access at any time, with or without cause, during the closed beta. Upon termination we will, on request, provide a reasonable opportunity to export delivered Outputs. Sections 4–13 survive termination.
10. Disclaimers
THE SERVICE AND ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT OUTPUTS WILL BE ACCURATE OR SUITABLE FOR ANY PURPOSE, OR THAT ANY PARTICULAR AUDIENCE, GROWTH, OR REVENUE RESULT WILL BE ACHIEVED.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PLYS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, DATA, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE AND (B) ONE HUNDRED US DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO PARTS OF THIS SECTION MAY NOT APPLY TO YOU.
12. Indemnification
You will defend and indemnify Plys against claims, damages, and expenses (including reasonable attorneys’ fees) arising from your Inputs, your published content, your connected channels, or your breach of these Terms or applicable law.
13. Governing law and disputes
These Terms are governed by the laws of the State of Florida, USA, excluding its conflict-of-laws rules. The exclusive venue for any dispute is the state or federal courts located in Florida, and each party consents to their jurisdiction. Either party may seek injunctive relief in any court of competent jurisdiction for infringement of intellectual-property rights.
14. Changes to these Terms
We may update these Terms from time to time. We will post the updated version at this URL with a revised “Last updated” date and, for material changes, notify account holders by email or in the product. Continued use of the Service after changes take effect constitutes acceptance.
15. General
These Terms, together with the Privacy Policy and any separate written agreement, are the entire agreement between you and Plys regarding the Service. If any provision is unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control.
